1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Chofski Consulting ("we," "us," or "our") governing your access to and use of our website, services, products, courses, coaching programs, and any related content or materials (collectively, the "Services"). By accessing our website, creating an account, purchasing any product or service, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease all use of the Services.
Your continued use of the Services following any modification to these Terms constitutes your acceptance of such changes. We reserve the right to modify these Terms at any time, and such modifications will be effective upon posting to our website. It is your responsibility to review these Terms periodically.
2. Eligibility
You must be at least 18 years of age and possess the legal capacity to enter into a binding contract in your jurisdiction to use the Services. By using the Services, you represent and warrant that you meet these eligibility requirements. If you are accessing the Services on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
We do not knowingly collect personal information from children under 13 years of age, and the Services are not directed to children. In compliance with the Children's Online Privacy Protection Act (COPPA), if we learn that we have collected personal information from a child under 13 without verifiable parental consent, we will delete that information as quickly as possible. 3. Description of Services and Products
Chofski Consulting provides business consulting services, which may include but are not limited to:
- One-on-one coaching and consulting sessions
- Group coaching programs and workshops
- Online courses and training programs covering business strategy, operations, growth, and related topics
- Digital products such as templates, guides, workbooks, and resources
- Membership programs offering ongoing access to content, community, and support
- Advisory and strategic consulting services tailored to client needs
The specific features, content, duration, and deliverables of each service or product are described in the applicable product listing, sales page, or service agreement. We reserve the right to modify, suspend, or discontinue any service or product at any time without prior notice, although we will make reasonable efforts to notify active participants of material changes to ongoing programs.
All coaching, consulting, and educational content provided through the Services is for informational and educational purposes only. It does not constitute professional advice (legal, financial, accounting, tax, or otherwise) specific to your individual circumstances. You are solely responsible for evaluating the suitability of any information or recommendations and for seeking appropriate professional advice before making business decisions.
4. Accounts and Registration
Certain Services require you to create an account by providing accurate, current, and complete information, including your name, email address, and any other requested details. You agree to maintain and promptly update your account information to keep it accurate and current.
You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized account access that results from your actions or omissions.
You may not share your account access with others, transfer your account to another person, or use another person's account without permission. Each account is for individual use only unless expressly stated otherwise for a specific service or product.
5. Purchases, Pricing, and Payment
All prices for products and services are stated in the currency displayed on the applicable sales page and are subject to change at any time without notice. Prices do not include applicable taxes, which will be calculated and added at checkout where required by law.
Payment is processed through a third-party payment processor. By making a purchase, you authorize us to charge the payment method you provide for the total amount of your purchase, including any applicable taxes and fees. You represent and warrant that you have the legal right to use the payment method you provide.
For subscription-based services or memberships with recurring billing, you authorize us to charge your payment method automatically at the beginning of each billing cycle (monthly, annually, or as otherwise specified) until you cancel. You are responsible for canceling your subscription before the next billing date if you wish to avoid being charged for the subsequent period. Subscription fees are billed in advance and are non-refundable except as expressly stated in our refund policy.
You are responsible for providing accurate billing information and for any fees or charges incurred due to incorrect information. If a payment fails or is declined, we may suspend or terminate your access to the applicable service until payment is received.
All payment processing and storage of payment information is handled by our third-party payment processor in accordance with applicable payment card industry standards. We do not store complete credit card or debit card numbers on our systems.
6. Refund and Cancellation Policy
Due to the nature of digital products and services, all sales are generally final. However, we may offer refunds under certain circumstances as described in our published refund policy or as required by applicable law.

No refunds or credits will be issued for partial billing periods unless otherwise stated or required by law.
If you are a resident of the European Union or United Kingdom, you have the right to withdraw from a purchase of digital content within 14 days of purchase, unless you have consented to immediate access and acknowledged that you thereby lose your right of withdrawal. If you are a California resident, you have certain rights under the California Consumer Privacy Act as described in our Privacy Policy.
7. Intellectual Property and License to Use
All content, materials, and intellectual property available through the Services, including but not limited to text, graphics, logos, images, videos, audio, software, course materials, templates, worksheets, and other resources (collectively, "Content"), are owned by or licensed to Chofski Consulting and are protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for your personal, non-commercial use in connection with the specific product or service you have purchased. This license does not include any right to:
- Reproduce, distribute, publicly display, or publicly perform the Content except as necessary for your personal use
- Modify, create derivative works from, or reverse engineer any Content
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Content
- Use the Content for any commercial purpose or for the benefit of any third party
- Share, resell, sublicense, or transfer your access to the Content to any other person or entity
You may not record, screenshot, transcribe, or otherwise capture live coaching sessions, group calls, or other real-time interactions without our express written permission. Course materials and resources provided for download may be saved for your personal reference but may not be shared or distributed.
All rights not expressly granted to you in these Terms are reserved by Chofski Consulting. Unauthorized use of the Content may violate copyright, trademark, and other laws and may result in termination of your access and legal action.
8. User Content and Acceptable Use
Certain Services may allow you to submit, post, or share content, including comments, questions, feedback, testimonials, case studies, or other materials ("User Content"). You retain ownership of any intellectual property rights you hold in your User Content, but by submitting User Content through the Services, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media for the purposes of operating, promoting, and improving the Services.
You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not violate any third-party rights or applicable laws. You are solely responsible for your User Content and the consequences of posting or publishing it.
You agree not to use the Services to:
- Violate any applicable local, state, national, or international law or regulation
- Infringe upon or misappropriate the intellectual property rights, privacy rights, or other rights of any third party
- Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
- Transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation
- Transmit any viruses, malware, or other harmful code or engage in any activity that interferes with or disrupts the Services
- Collect or harvest any personally identifiable information from other users without their consent
- Use any automated means (including bots, scrapers, or spiders) to access the Services without our express written permission
- Attempt to gain unauthorized access to any portion of the Services, other users' accounts, or any systems or networks connected to the Services
We reserve the right, but have no obligation, to monitor, review, or remove User Content at our sole discretion. We may suspend or terminate your access to the Services immediately and without notice if you violate these acceptable use provisions.
9. Third-Party Services and Links
The Services may contain links to third-party websites, services, or resources that are not owned or controlled by Chofski Consulting. We may also integrate with or rely on third-party services for payment processing, email delivery, course hosting, community platforms, or other functionality.
We have no control over and assume no responsibility for the content, privacy policies, terms of service, or practices of any third-party websites or services. You acknowledge and agree that we are not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any third-party content, goods, or services.
Your interactions with third-party services, including payment transactions, are solely between you and the third party. THE SERVICES, INCLUDING ALL CONTENT, PRODUCTS, AND MATERIALS, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, CHOFSKI CONSULTING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components. We do not warrant or make any representations regarding the use or the results of the use of the Services in terms of their correctness, accuracy, reliability, or otherwise.
No advice, information, or coaching provided through the Services creates any warranty not expressly stated in these Terms. We do not guarantee any specific results, outcomes, or financial performance from your use of the Services. Your results will depend on numerous factors, including your individual circumstances, effort, business acumen, market conditions, and other variables beyond our control. Any testimonials, case studies, or examples of results are not guarantees of your individual results.
The information and strategies provided through the Services are for educational purposes only and should not be construed as professional advice tailored to your specific situation. You are solely responsible for evaluating the information provided and for any decisions or actions you take based on that information. 11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHOFSKI CONSULTING, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED POUNDS STERLING (£100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
The limitations of liability set forth in this section shall apply regardless of the form of action, whether based on contract, tort (including negligence), strict liability, warranty, or any other legal or equitable theory, and shall survive any failure of essential purpose of any limited remedy.
12. Indemnification
You agree to indemnify, defend, and hold harmless Chofski Consulting, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or inability to use the Services
- Your violation of these Terms or any applicable law or regulation
- Your violation of any third-party rights, including intellectual property rights, privacy rights, or other proprietary rights
- Any User Content you submit, post, or transmit through the Services
- Any misrepresentation made by you in connection with your use of the Services
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. This indemnification obligation will survive the termination of these Terms and your use of the Services.
13. Term and Termination

You may terminate these Terms at any time by ceasing all use of the Services and, if applicable, closing your account. Grounds for termination by us include, but are not limited to:

- Fraudulent, abusive, or otherwise illegal activity
- Non-payment of fees or charges when due
- Extended periods of inactivity
- Requests by law enforcement or other government agencies
- Discontinuation or material modification of the Services
Upon termination, your right to access and use the Services will immediately cease. We may delete your account and any content associated with it, although we have no obligation to do so. We are not liable to you or any third party for any termination of your access to the Services.
The following sections survive any termination of these Terms: Intellectual Property and License to Use (with respect to restrictions on use), User Content and Acceptable Use (with respect to licenses granted), Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution and Governing Law, and any other provisions that by their nature should survive.
14. Dispute Resolution and Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Before initiating any formal legal proceedings, you agree to first contact us at tabithawinter@chofskiconsulting.com to attempt to resolve any dispute, claim, or controversy informally. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within sixty (60) days of submission, either party may initiate formal proceedings.
Subject to the informal resolution requirement above, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales, and you irrevocably submit to the jurisdiction of such courts. If you are a consumer resident in the European Union, you may also bring proceedings in the courts of the EU member state in which you reside.
If you are a resident of the United States, you agree that any dispute arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if your claims qualify. You waive any right to a jury trial and any right to participate in a class action or class-wide arbitration. The arbitration shall be conducted in [jurisdiction to be specified], and judgment on the arbitration award may be entered in any court having jurisdiction. This arbitration provision shall survive termination of these Terms.

Your continued use of the Services after any changes to these Terms become effective constitutes your acceptance of the revised Terms. For users in the European Union or United Kingdom, if we make material changes to these Terms that affect your rights, we will provide at least thirty (30) days' notice before such changes take effect, and you will have the right to terminate your account and receive a pro-rata refund of any prepaid fees for services not yet provided.
16. Severability and Entire Agreement
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent, or if such modification is not possible, shall be severed from these Terms.
These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Chofski Consulting regarding the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter herein.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights or provisions. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
